Welcome to CoachOps.ai. These Terms of Service ("Terms") govern your access to and use of the CoachOps.ai platform, website, and related services (collectively, the "Service"), operated by Proserve Metrics LLC. By creating an account or using the Service, you agree to be bound by these Terms.

1. Service Description

CoachOps.ai is an AI-powered coaching operations platform designed for coaching organizations and independent coaches. The Service provides tools for managing coaching sessions, generating AI-assisted documents (recaps, call guides, agendas), tracking client progress, and streamlining coaching workflows.

2. Account Registration and Responsibilities

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years old to create an account. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3. Subscription and Billing

Access to certain features of the Service requires a paid subscription. Subscription plans, pricing, and features are described on our Pricing page and may be updated from time to time.

Subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan). You authorize us to charge your payment method on file for all applicable fees. All fees are non-refundable except as required by law or as explicitly stated in our Refund Policy.

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations.
• Upload or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
• Use the Service to store or transmit malicious code.
• Interfere with or disrupt the integrity or performance of the Service.
• Use automated means (bots, scrapers) to access the Service without our written consent.

5. Data Ownership

You retain all ownership rights to the data you upload, create, or generate through the Service, including client information, session transcripts, coaching notes, and any other content you provide ("Your Data").

You grant us a limited license to use Your Data solely for the purpose of providing, maintaining, and improving the Service. We will not sell, share, or use Your Data for any purpose other than operating the Service on your behalf.

You may export Your Data at any time using the export tools provided in the Service. Upon account termination, we will make Your Data available for export for a reasonable period before deletion.

5a. SMS Communications

By enabling SMS notifications in your account settings or on your coaching portal and providing your mobile phone number, you consent to receive transactional text message notifications from CoachOps.ai via Twilio. These messages are strictly operational — no marketing or promotional SMS messages will be sent.

Message frequency varies based on platform activity. Message and data rates may apply. You may opt out at any time by replying STOP to any message. After opting out, you will receive a single confirmation message and no further SMS messages will be sent unless you re-enable the preference. 6. AI-Generated Content

The Service uses artificial intelligence to generate content such as session recaps, call guides, agendas, and coaching summaries. AI-generated content is provided as a starting point and should always be reviewed and approved by a qualified coach before being shared with clients or used for decision-making.

We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content. You are solely responsible for reviewing, editing, and approving all AI-generated content before use. CoachOps.ai is a tool to assist coaches, not a replacement for professional judgment.

7. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by Proserve Metrics LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

The CoachOps.ai name, logo, and related marks are trademarks of Proserve Metrics LLC. You may not use these marks without our prior written permission.

8. Limitation of Liability

To the maximum extent permitted by law, Proserve Metrics LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice.

Upon termination, your right to use the Service will immediately cease. We will retain Your Data for a reasonable period to allow you to export it, after which it will be permanently deleted.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.
